Job Summary
Structure and model economics for complex, multi-year strategic partnerships, including platform fees, usage-based pricing, and royalty mechanics. Own the operational cadence of deal execution by tracking open issues, sequencing workstreams, and aligning Legal, Commercial, and Science from term sheet through signature. Partner with counsel on contract negotiation redlines, IP representations, and liability caps while building deal comparables to inform strategy. Support end-to-end fundraising processes, managing cap table modeling, data room coordination, and diligence responses. Model dilution scenarios, negotiate round terms, and build revenue forecasts by customer segment to drive capital allocation decisions. Develop scalable frameworks that translate deal economics into consistent analytical rigor for leadership and investors.
Required Qualifications
- 6-10+ years in investment banking, corporate development, venture capital/growth equity, strategic finance, or a related transactional finance field
- startup or scale-up experience
- Demonstrated experience structuring and negotiating complex, multi-year commercial agreements
- Fluency in venture financing mechanics (SAFEs, priced rounds, cap tables, liquidation preferences)
- Working knowledge of revenue recognition concepts (ASC 606)
- Experience building revenue forecasts across multiple segments or product lines
- Strong financial modeling skills
- Proven ability to drive cross-functional workstreams and keep Legal, Commercial, and Science aligned on timelines and deliverables
- Clear, direct communicator who can operate cross-functionally with Legal, Commercial, and executive stakeholders
- Bachelor's degree in finance, economics, or a related field
Desired Qualifications
- MBA or CFA
- Prior experience in biotech, pharma, deep tech, or AI-native company environments
- Background in M&A diligence or corporate development transaction support
- Direct experience negotiating contract redlines and familiarity with IP, indemnification, and licensing terms
- Experience in an institutional investing seat (VC, growth equity, or banking coverage of growth-stage companies)
- Experience preparing materials for board or investor audiences
