Job Summary
Associate Counsel at ProShares to lead the preparation of SEC regulatory materials for ETFs, mutual funds and interval funds, and to support development and launch of ETF products. Responsibilities include drafting registration statements and regulatory documents, advising on regulatory issues, coordinating with industry groups, preparing memos/minutes for Board oversight, and negotiating a range of contracts (vendor, license, technology, and derivative contracts). Requires 3+ years of law firm or in-house legal experience focused on mutual funds or ETFs, JD degree, and knowledge of the Investment Company Act of 1940, the Investment Advisers Act of 1940, and the Securities Act of 1933. Strong writing, analytical, and organizational skills; experience with a content management system is preferred. Hybrid work schedule; base salary of $150,000-$180,000 plus incentive pay; comprehensive benefits. Required Qualifications
- JD degree
- 3 or more years of law firm or in-house legal experience with a focus on mutual funds or ETFs
- Knowledge of Investment Company Act of 1940, Investment Advisers Act of 1940, and Securities Act of 1933
- Experience with drafting and negotiating regulatory and contractual documents (e.g., registration statements, vendor agreements, license agreements, technology agreements, derivative contracts)
- Experience with mutual funds or ETFs and familiarity with related regulatory frameworks
- Strong writing, analytical, and organizational skills
- Ability to work independently in a cross-functional team
- Prior experience with a content management system preferred
