Job Summary

NineDot Energy is seeking an Associate Counsel, Project Finance to join the Legal team in Brooklyn, NY (Hybrid). The role focuses on supporting the legal execution of project finance, tax equity, and corporate finance transactions across NineDot’s clean energy projects. Responsibilities include negotiating, drafting, reviewing, and executing project finance and tax equity documents (credit agreements, tax equity investment documents, guarantees, security documents, intercreditor agreements), coordinating closing processes, supporting debt and tax equity financings, identifying risks and providing practical solutions, drafting and negotiating commercial agreements (vendor agreements, NDAs, consulting agreements, service agreements), leading entity formation and corporate governance, and collaborating with internal teams and outside counsel through transaction lifecycles. Core competencies include collaboration, results delivery, interpersonal savvy, ambiguity management, nimble learning, planning, and tech savviness. Requirements emphasize a JD and NY admission, 3+ years of relevant experience (preferably in renewable energy or infrastructure transactions), strong drafting/negotiation skills, and a proactive, collaborative approach. Required Qualifications

  • J.D. from an accredited law school and admission to practice law in New York (or ability to waive in)
  • 3+ years of relevant legal experience, including experience at a major law firm
  • Hands on experience supporting project finance and tax equity transactions
  • Experience representing sponsors, lenders, tax equity investors, or developers in renewable energy or infrastructure transactions strongly preferred
  • Strong drafting, negotiation, and organizational skills with exceptional attention to detail
  • Demonstrated ability to manage multiple complex transactions simultaneously and drive matters to completion
  • Experience reviewing and negotiating commercial agreements and transaction documents
  • Strong business judgment and the ability to provide practical legal advice in a fast-paced environment
  • Collaborative, responsive, and proactive approach with strong interpersonal and communication skills
  • Interest in renewable energy, energy storage, and infrastructure development preferred
