Job Summary
Support on mergers and acquisitions, disposal transactions, public company transactions such as IPOs, and equity fundraisers. Lead due diligence exercises, data room reviews, and disclosure processes for buy-side or sell-side legal work. Prepare disclosure letters, supporting bundles, and draft transaction ancillary documents including completion board minutes and deeds of waivers. Negotiate terms for investment documents acting for investing institutions or management teams on PE-backed transactions. Manage corporate restructurings, shareholders agreements, joint ventures, and limited liability partnership agreements. Assist with business development, tenders, and client research while providing independent commercial advice. Requires a qualified solicitor with 2 to 5 years PQE and flexibility to work outside normal office hours.
Required Qualifications
- Qualified Solicitor
- 2 to 5 years PQE
- Strong technical skills
- Ability to work as part of a team
- Excellent communication/client service skills
- Excellent attention to detail
- Excellent organisational skills
- The ability and experience of independently managing a caseload providing sound commercial advice
- Adheres to guidelines and procedures
- An understanding of clients' needs and expectations
- Flexibility in approach and a willingness to work outside normal office hours, if required
