Job Summary
Advise public and private companies, underwriters, and financial institutions on equity and debt capital markets transactions, including IPOs, follow-on offerings, SPACs, PIPEs, and ATM programs. Draft, review, and negotiate transaction documentation such as registration statements, prospectuses, and underwriting agreements. Support public company clients with ongoing SEC reporting and disclosure matters, including periodic reports, current reports, proxy materials, and SEC comment responses. Take ownership of key transaction aspects, manage drafting processes, and coordinate execution with partners, clients, opposing counsel, and internal teams. Work on capital markets–adjacent M&A and strategic transactions, including tender offers, acquisitions, divestitures, and joint ventures. Collaborate closely with colleagues across finance, tax, regulatory, intellectual property, and M&A practices to deliver integrated solutions. Contribute to the firm's thought leadership by writing client alerts and submitting comment letters on SEC proposals.
Required Qualifications
- Juris Doctor (JD) degree (or LL.M./foreign equivalent) from an accredited law school
- Admission to the New York Bar (or eligibility to become admitted) and in good standing
- Approximately 4+ years of relevant law firm or in-house transactional experience
- Experience advising on equity and/or debt capital markets transactions
- Strong drafting, analytical and negotiation skills
- Familiarity with SEC reporting and disclosure requirements for public companies
- Commercial awareness and ability to see the broader business context
- Strong communication, organization and time-management skills
- Ability to manage multiple matters efficiently and perform well under pressure
- Client-service oriented, collaborative and proactive
- Driven by professional growth and long-term interest in business law
- Fluency in English
