Job Summary
Equity derivatives-focused Assistant General Counsel, VP at Wells Fargo. Provides expert legal support for complex corporate equity derivative transactions, including issuer calls spreads, capped calls, accelerated share repurchase programs, and term margin loans; advises on equity swap master confirmations, exotic derivatives, and bespoke basket transactions with institutional clients. Negotiates OTC derivatives documentation (options, forwards, swaps, collars, risk-recycling transactions), interprets relevant U.S. laws and regulations (Exchange Act, Securities Act, Dodd-Frank, ERISA, Investment Advisers Act, and Federal Reserve Board Regulations U, T, X), and collaborates with front office sales/trading and other Legal Department leaders to deliver risk-aware, compliant solutions. Requires strong communication, project management, and the ability to influence stakeholders while managing high-risk deliverables; role supports hybrid in-office presence at least 3 days a week in New York. Not eligible for visa sponsorship; relocation assistance is not available.
Required Qualifications
- 5+ years of Law experience, or equivalent demonstrated through one or a combination of: work experience, training, military experience, education
- Active State Bar membership or the equivalent in a country outside the United States
Desired Qualifications
- 5+ years of Derivatives attorney experience
- Significant exposure to equity derivatives, prime brokerage, and complex structured products
- Experience negotiating with institutional and corporate clients
- Understanding of U.S. securities and derivatives regulations
- Experience providing legal advice and support in large, matrixed organizations
- Strong process and project management skills
- Excellent written and verbal communication skills
- Ability to adapt quickly to a changing environment while building relationships and negotiating for positive business outcomes
