Job Summary
Assistant General Counsel, Corporate at Marqeta working on SEC reporting, governance, and disclosure for a public company. Own quarterly/annual SEC reporting (10-K, 10-Q, 8-K), coordinate the proxy statement and related materials, oversee Form 8-Ks and Section 16 reporting, and support the Disclosure Committee. Lead governance efforts for the Board and its committees, prepare materials and minutes, and manage board records. Collaborate with Finance, IR, and outside counsel; monitor SEC rulemaking and NYSE listing standards; work with equity programs and insider trading policies. Flexible First; remote in the United States or based in Oakland, CA. JD and bar admission in the U.S. required; 10–15 years of relevant experience with a strong focus on public company securities and corporate governance; strong drafting and communications skills.
Required Qualifications
- J.D. degree and active membership in good standing in at least one U.S. state bar (California or New York preferred)
- 10–15 years of legal experience with meaningful focus on public company securities, SEC disclosure, and corporate governance
- Substantive hands-on experience drafting SEC filings (proxy statements, 10-Ks, 10-Qs, and 8-Ks)
- Experience supporting a public company board of directors and its committees, including preparation of materials and minutes
- Strong working knowledge of insider trading rules, Section 16 compliance, and equity compensation disclosure
- Top law firm experience preferred; in-house experience at a public company in a corporate or securities function required
- Ability to operate independently, manage multiple time-sensitive workstreams, and escalate appropriately in a lean, high-performing team environment
- Excellent written communication skills for directors, executives, and the investing public
- Nice-to-haves: FinTech/payments/technology sector experience; Delaware corporate law depth; proxy advisory familiarity; board portal experience
