Job Summary
Lead and manage all phases of M&A transactions and provide transactional and compliance legal support for Air Products’ Americas Law Department. Responsibilities include negotiating and drafting complex commercial contracts (purchase/sale agreements, TSAs, LOIs, NDAs), overseeing regulatory filings (HSR/antitrust), managing outside counsel and legal costs, advising internal clients on contracting and compliance, coordinating with tax and finance, and supporting various product and equipment transactions, including joint ventures. Requires JD from an accredited U.S. law school, U.S. Bar admission with in-house eligibility in Pennsylvania, and approximately 15+ years of experience in corporate or private practice. Role located in Allentown, PA with potential periodic remote work flexibility.
Required Qualifications
- 15+ years of combined business and transactional experience in private practice and/or corporate legal department, including mergers and acquisitions
- JD degree from an accredited U.S. law school
- Admission to at least one U.S. State Bar with eligibility to practice law as in-house counsel in Pennsylvania
- Ability to lead and manage all phases of M&A transactions including due diligence, deal structuring, negotiation, documentation and closing
- Experience drafting, reviewing, and negotiating complex transaction documents (purchase agreements, TSAs, LOIs, NDAs) and advising on regulatory filings (HSR/antitrust)
- Experience managing outside counsel and legal costs; coordinating cross-functional teams (tax, finance)
- Strong client relationship management and counseling skills; ability to provide training on contracting and compliance
- Licensed to practice law in the State of Pennsylvania; ready to work in Allentown, PA area
- Experience advising on real estate acquisitions, leases, and other commercial matters
- Strategic, business-minded legal professional able to support product sales, equipment transactions, and joint ventures
- Experience leading post-closing integration matters and risk assessment
