Job Summary
Assistant Company Secretary sought to support the Company Secretary and General Counsel (Corporate) in delivering high standards of governance across the Synthomer Group. Responsibilities include UK Listing Compliance (DTRs, UK Listing Rules, UK Corporate Governance Code, MAR), maintaining insider lists and share dealing approvals, coordinating Annual Report preparation, organising AGMs/EGMs, subsidiary governance and entity management, filings with Companies House, drafting and reviewing board minutes and resolutions, maintaining statutory registers, managing relationships with external corporate secretarial providers, supporting PLC Board/Committee processes and calendars, distributing papers via the board portal, registrar interactions (dividends, shareholder queries), and providing support on corporate actions (acquisitions, disposals, internal restructurings). The role requires strong written and verbal communication, discretion with confidential matters, highly organised prioritisation, and experience in a UK-listed/main-market environment is advantageous. The position is based at London Victoria (Global Head Office) with a minimum of four days in the office per week, in a FTSE-listed company setting, offering exposure to Board-level activity in an international organisation.
Required Qualifications
- A relevant company secretarial qualification is desirable, though not essential depending on experience
