Job Summary
Advise on corporate trust, loan agency, and asset securitization transactions for major financial institutions and institutional investors. Represent indenture trustees, administrative agents, collateral agents, and collateral trustees in debt offerings and loan financing matters. Review and negotiate credit agreements, collateral documents, and related transaction materials, including domestic and cross-border financing. Analyze corporate debt offerings under Rule 144A and Regulation S, and resolve UCC Article 8 and Article 9 issues. Manage multiple active transactions while delivering responsive client service and collaborating closely with attorneys on sophisticated finance matters. Sit in one of several major U.S. markets.
Required Qualifications
- 3+ years of corporate trust, loan agency, and/or finance transactional experience
- Active bar membership in good standing or ability to waive into applicable jurisdiction
Desired Qualifications
- Large or mid-size law firm background
- Experience with debt offerings, loan financing transactions, and related documentation
- Familiarity with Rule 144A, Regulation S, and trustee/agent-side representations
- Strong understanding of UCC Article 8 and 9
- Excellent communication, analytical, interpersonal, and writing skills
- Strong academic credentials
