Job Summary
Review merger, stock, and asset purchase agreements, disclosure schedules, and closing documents while performing due diligence and drafting related memoranda. Draft organizational documents, including provisions for common and preferred stock, shareholder agreements, and joint venture documentation. Draft loan and security agreements, notes, pledge and control agreements, collateral assignments, guarantees, and inter-creditor agreements. Use existing contacts and develop new relationships with private equity and law firms to originate new business. Requires 5 to 10 years' experience from an AMLAW 100 firm. Salary is $200K and up depending on years of legal experience.
